Terms of use for the prospectus relating to the two SEK Notes, the prospectus relating to the DKK Notes and the prospectus relating to the EUR Notes

Each Prospectus appearing herein constitutes a prospectus (i) for the purposes of Article 5.3 of Directive 2003/71/EC, as amended, and (ii) for the purposes of giving information with regard to the Issuer and its consolidated subsidiaries (together, the “Group”) and the relevant Notes which, according to the particular nature of the Issuer and the Notes, is necessary to enable investors to make an informed assessment of the assets and liabilities, financial position, profit and losses and prospects of the Issuer.

In accessing any Prospectus, you agree to be bound by the following terms and conditions, including any modifications to them any time you receive any information from us as a result of such access.

In particular, in June 2015, the U.K. Financial Conduct Authority published the Product Intervention (Contingent Convertible Instruments and Mutual Society Shares) Instrument 2015 (the “PI Instrument”), which took effect on 1 October 2015.  In addition, (i) on 1 January 2018, the provisions of Regulation (EU) No. 1286/2014 on key information documents for packaged and retail and insurance-based investment products (as amended) (the “PRIIPs Regulation”) became directly applicable in all EEA member states and (ii) MiFID II was required to be implemented in EEA member states by 3 January 2018. Together, the PI Instrument, the PRIIPs Regulation and MiFID II are referred to as the “Regulations”. The Regulations set out various obligations in relation to (i) the manufacturing and distribution of financial instruments and (ii) the offering, sale and distribution of packaged retail and insurance-based investment products and certain contingent write down or convertible securities, such the Notes.
